DENVER — Peyton Manning sold 31 Denver-area Papa John's stores last week, two days before the NFL dropped the chain as its official pizza sponsor.

The Denver Post reported Wednesday that Papa John's spokesman Peter Collins confirmed the former NFL quarterback sold his stake to an existing Papa John's franchisee.

Manning will remain Papa John's celebrity spokesman and brand ambassador. He wasn't immediately available for comment.

The NFL and Papa John's ended their deal Feb. 27, and the league announced a multiyear marketing deal with Pizza Hut the following day. The NFL's relationship with Papa John's was strained last year when company founder John Schnatter criticized the league's leadership about national anthem protests by players.

Whether he knew of the Nfl decision or not is immaterial. It wont affect business that much. No customer is gonna say "I was gonna order Papa Johns but since the Nfl isnt a sponsor anymore I will go to Pizza Hut instead."

Insider trading laws apply to closely held business entities, so yes it would be illegal if material facts were withheld and there was financial gain

-------------------------

1) Pursuant to Rule 10b−5 of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), it is illegal to make any sale of a security that includes an untrue statement of a material fact or omits to state a material fact necessary in order to make the statements made, in light of the circumstances under which they were made, not misleading. In addition to the SEC’s power to bring an enforcement action, an individual purchaser may bring an action for damages against the seller/ participants.

2) Rule 10b-5 applies to any purchase or sale by any person of any security; there are no exemptions. It applies to securities which are registered under the Exchange Act or which are not so registered. It applies to publicly-held companies and to private companies. Indeed, it applies to any kind of entity which issues something that can be called a “security.”

---------------------------------------------

I'm not accusing Peyten of insider trading because I don't have enough facts, but there clearly could be laws broken

stated simply, you can't withhold material facts when selling a business, any business

If it was to an existing franchisee and it was 30 stores then they would likely have the same knowledge Peyton had. Likely some big group that already owns 50+ locations.

Doubt the people who run his businesses would be that stupid to try and pull a fast 1.

This is no Martha Stewart situation .
Complete apples and oranges .

This don’t even involve the SEC which is the one who enforces the insider trading laws

Exactly, an existing franchisee with a huge Papa John’s presence purchased the locations and the deal was supposedly in the works for several months.

Martha was railroaded, it wasn't an insider trader conviction at all, it was Comey going after what he called a "false statement", one of his infamous "obstruction" cases.

And the law that prohibits insider trading would apply to this situation if applicable

I concur, I haven't seen anything that suggests laws were broken, just the timing makes it a story

What a life that guy lives.

This isn't a stock market deal. He didnt do anything remotely wrong except maybe eat some Papa Johns pizza. That stuff is nasty.

Here is some inside info, the owner goes to a penis Dr. because he is impotent.
