CES Software plc (LSE/AIM: CES; TSE:FUN), a provider of skill gaming and exchange-betting technology, has entered a conditional agreement to acquire Corcom, Inc., a Nevada corporation, and certain assets associated with Corcom's business, Don Best Sports.

Founded in 1989, Las Vegas based Don Best publishes exclusive, real-time wagering odds on the Internet for its Internet subscriber base. It also publishes a wide range of market-sensitive information, which enables its customers to make a more educated wager.

CES will pay US $40 million in cash, the issuance of one million CES ordinary shares on completion, and the issuance of a maximum of one million further ordinary shares pursuant to an earn-out. The deal values Don Best at approximately $53.4 million, not including earn-out payment. CES expects to close the acquisition no later than January 31, 2005.

For the nine months ended September 30, 2004, Don Best recorded a loss of US $0.25 million on revenues of US $7.85 million. As at September 30, 2004, Don Best had net liabilities of US $2.98 million. CES said the loss includes certain discretionary or other expenses that are not likely to recur in the future. "Adjusted for the non-recurring expenses, Don Best's annualized, pro-forma profit before tax for the nine months ended September 30, 2004 would have been US $6.968 million," CES said in a release.

CES said the acquisition will create additional value for CES shareholders. Don Best's business will complement CES' current exchange-betting and skill-gaming divisions, and fit into CES' overall strategy of using the Internet to create a more fun, varied and efficient gaming experience.

CES intends to raise up to £8 million in a private placement which is expected to close shortly after the completion of the acquisition. CES had raised over $66 million in 2004. In July 2004, CES acquired the person-to-person skill gaming business, known as SkillJam, from eUniverse, Inc. for US $8 million in cash plus future royalty consideration.

Guys,

I've been in this industry since 1996 and I can tell you right now, the "sports gaming information" industry will be more powerful than ESPN or Fox Sports within 10 years. I can see the day where Sportscenter will be replace by a gaming network that has a format directed towards betting angles. Let's face it, sports is a business now for EVERYBODY and watching highlights at 6:00 or 6:30 is overrated. Management at ESPN or Fox Sports will realize, the public will want reliable and important information leading up to sports news now, because they might use it towards a 7:00 or 10:00pm NBA or NHL Game.

yup. suprised it hasnt happened yet. they could make it a pay channel 10 bucks a month and they would get a hoard of subscribers. the costs of running a network like that would probably be minimal too.

I say my prayers every day that something like that would happen. i dont need highlights , i watch the games . i can turn espn news for 24 hour highlights if i want. i want reporters in the arenas up til tip off , kick off, face off or play ball..

There's a huge market share to be had related to sports gambling.

Companies we haven't even heard of yet will end up making millions. Lots of companies already have. I'm not talking about sportsbooks.... I'm talking about the other companies that fall into the category of sports gambling. Stat fox, don best, etc.

What exactly would need to be done to start something like this?? I don't know the costs but I do know there are hundred people in this forum alone that would be interested in being a part of something like this. Not a bad idea. . .Afterall gambling is a lot bigger then many people think. . Its everywhere however it is such an unspoken activity. Kind of like the number of people that actually smoke weed.

I love the idea. You could make it a pay channel of $30- $50 a month and it would be a hit. Hell I pay $220 or so just for all the sports networks each season. . I bet that gets up to almost a G every year.

To start a live lines service?

I made one two years back which had about 15 books. I don't use it anymore really although it still works. Doesn't give you injuries and scores and all that other stuff...it's lines only.

Cost me $100 to have a programmer put it together for me.

To make one similar to Don Best... Couple $1000 at the most.

I'm going to take a stab and say that Don Best was probably sold for similar reasons to the Rx being sold.

For a minnow who haven't two farthings to rub together this is a serious amount of debt to take on. They cannot afford any disruption to this revenue stream which would make them a prime target for DOS extortion.

This is big news offshore. I remember going into the original Don Best office off Spring Mtn (in Vegas). Congrats to the group that sold and best of luck to the new owners. Don Best is going global.

Folks..that channel is closer than you think...it will originate from Las Vegas and programming has already begun its early stages of production. It will be carried on satellite and on live webcast on the internet. PPV is currently in the discussions as well.
